Non-Executive Directors nominated by Hindustan Petroleum Corporation Ltd.

Mr. P.K. Joshi Chairman

Mr. Pushp Kumar Joshi is Chairman and Managing Director of the Corporation effective May 8, 2022. Prior to this, he was Director – Human Resources of the Corporation from August 01, 2012. In past, he also held key portfolios in Human Resources functions viz. Executive Director – HRD and Head – HR of Marketing Division.

A Bachelor of Law and an alumnus of XLRI, Jamshedpur, Mr. Pushp Kumar Joshi joined HPCL in 1986. Since then he has held various key positions in Human Resources and Industrial Relations functions at HQO, Marketing and Refineries Divisions of HPCL.

He has been responsible for the design and deployment of key HR policies and practices that are employee oriented and aim at building high performance culture.

He spearheaded various HR practices with strong business focus in HPCL viz; Project Akshay – the leadership development programme, Productivity Improvement Initiatives, leveraged the IT Platform for Internal Customer care, various Technical & Behavioral training programs, HR- Business Process Reengineering (BPR), Implementation of JDE (HR), Health Management System, HR Green Credit etc.

Mr. S. Bharathan Director (Refineries)

Mr. S. Bharathan is Director – Refineries of the Company effective October 01, 2022. Prior to this, he was an Executive Director – Refineries Coordination of the Company with Additional Charge of R&D.

Mr. Bharathan has wide exposure to the Refinery operations of the Company and has worked in Operations and Technical Departments of Mumbai and Visakh Refinery for over 25 years. He has also worked in the Corporate Office on Margin Management & Refinery Project Process for over 4 years. Further, he is also leading HPCL’s Green R&D Centre in Bengaluru for the last 3 years. Under him, HPCL Green Research & Development Centre (HPGRDC) has reached filing of about 380 patents.

Mr. Amit Garg Director (Marketing)

Mr. Amit Garg has been appointed as Director (Marketing) of the Company effective December 27, 2022. Prior to joining HPCL as Director (Marketing), Mr. Amit Garg was Executive Director (Aviation) in Bharat Petroleum Corporation Limited (BPCL).

Mr. Amit Garg is a Post Graduate in Electronics & Management.

Mr. Amit Garg is a senior leader in Oil & Gas space having rich and varied experience of over 35 years across the entire value chain in the Industry including sourcing, storage, logistics and sales across various functions in BPCL. He also served as a full time Director with Indraprastha Gas Limited, the largest CGD in the country and as a Nominee Director with Maharashtra Natural Gas Limited, a Joint Venture of BPCL & GAIL (India) Limited.

Mr. K S Shetty Director (Human Resources)

Shri K S Shetty has assumed the charge of Director Human Resources of the Company effective May 01, 2023. Prior to this, Shri K S Shetty was an Executive Director – Human Resources with additional charge of Employee Relations Department.

Shri K S Shetty is a Gold Medalist in Human Resource Management from Andhra University and also a distinguished alumnus of the Swedish Institute, Stockholm from where he completed his Diploma in Sustainable Development in 2012. He has also completed his Advanced Management Program from MDI, Gurgaon / ESCP Europe Business School, Paris. (2016). He is an SHRM, USA - Senior Certified Professional and is currently on the AIMA Core Committee on HR and also on the National Council of the Indian Society for Training and Development (ISTD). He is also on the Board of HPCL’s Wholly Owned Subsidiary Company (HPLNG), effective October 10, 2022.

He has over 25 years of experience in HR in various capacities at HPCL. In his current role at HPCL, he is responsible for the entire gamut of HR/ER functions ranging from Talent Acquisition, Capability Building, Career and Succession Planning, Performance and Rewards Management, Discipline Management etc. He also has in-depth knowledge of various Statutory/ Regulatory requirements under various Labour Laws.

Mr. Rajneesh Narang Director

Mr. Rajneesh Narang is the Executive Director – Corporate Finance of Hindustan Petroleum Corporation Ltd., a Maharatna Oil Company. Prior to this, he has held various key portfolios including that of Executive Director – Finance (Marketing), Executive Assistant to Chairman & Managing Director – HPCL among other assignments. He is on Board of several HPCL Joint Venture Companies.

A member of the Institute of Chartered Accountants of India (ICAI) and a degree in Masters in Financial Management, Mr. Narang brings with him rich and varied professional exposure of more than 3 decades across various spectrum of Downstream Oil Company. He has held various key challenging assignments in HPCL in the field of Corporate Finance, Treasury, Risk Management, Margin Management, Marketing Finance, Budgeting , SBU Commercial, C&MD’s Office and Refinery Project.

Mr. Rajneesh Narang is known for his Commercial acumen, innovative ideas and people-centric leadership. In his various roles, he has been focussed on investment in Human capital for building successful teams and individuals and able to perform and deliver exceptional results through positive engagement and a shared vision. He has various academic distinctions to his credit and is a key technical speaker in In-house capability building seminars and workshops.

Ms. Kalpana C. Naik Director

Ms. Kalpana C. Naik has been appointed on the Board of HPCL Rajasthan Refinery Limited effective April 24, 2023

She is currently working as General Manager, Corporate Pricing, at Hindustan Petroleum Corporation Limited (HPCL) and has worked in many Sections of Finance namely, Budget, MIS & Pricing, LPG – Commercial, Retail - Commercial etc. at HPCL.

Mr. Akhil AroraDirector

Mr. Akhil Arora was appointed on the Board of the Company effective January 21, 2021 as Government of Rajasthan nominated Director.

Mr. Arora holds a Bachelor's degree in Electronics & Communication Engineering, qualifying him as a highly knowledgeable and technically proficient professional. He is an IAS officer of 1993 batch and holds the esteemed position of Additional Chief Secretary in the Finance, Excise & Taxation Department of Rajasthan.

Throughout his distinguished career, Mr. Arora has held numerous key positions, showcasing his exceptional leadership and administrative skills. Notably, he served as the Principal Secretary to the Government in various departments, including Finance, Medical & Health, Social Justice & Empowerment, Planning, and Information Technology & Communication.

His ability to take on additional charges further highlights his versatility and capability, as he served as the Principal Secretary to Government in the Information Technology & Communication Department and the Department of Information and Public Relation. He also held the role of Commissioner for Specially Abled individuals in Rajasthan.

Mr. Arora's training experiences have contributed significantly to his professional growth. He completed in-service training on Public Private Partnership at the Administrative Staff College of India, Hyderabad, and mid-career training, including Phase-V at the Lal Bahadur Shastri National Academy of Administration in Mussoorie.

His outstanding achievements include overseeing projects in various capacities, such as Managing Director of Rajasthan Rajya Mines & Minerals Limited, Jaipur Metro Rail Corporation Limited, and Rajasthan State Mines and Minerals Limited. Additionally, he has served as the Commissioner of Tribal Area Development and as a Collector & District Magistrate in multiple locations.

Mr. Arora's exceptional track record in diverse sectors and his profound understanding of administrative processes make him an invaluable addition to our Board of Directors. We are confident that his strategic insights and visionary leadership will play a crucial role in guiding our organization towards greater success and achieving new milestones. Ms. Veenu GuptaDirector

Ms. Veenu Gupta was appointed on the Board of the Company effective June 07, 2023 as Government of Rajasthan nominated Director. With an impressive service history spanning several decades, Smt. Gupta brings a wealth of experience and expertise to our organization. Born on 27th December 1963 in Muzzafarnagar, her passion for knowledge led her to achieve an array of qualifications, including an M.B.A., M.A. (Hons.) in English, and a B.A. (Hons.) in English Literature.

An IAS officer of 1987 batch, Ms. Gupta is currently posted as the Additional Chief Secretary for Industries & Commerce, Micro, Small & Medium Enterprise (M.S.M.E.), State Enterprises & Delhi Mumbai Industrial Corridor, Mines & Petroleum Department, and O.S.D., BIDA, along with the role of Additional Chief Secretary for Investment & NRIs, BIP, Rajasthan, Jaipur, Ms. Gupta has displayed exceptional leadership and administrative abilities.

Her extensive professional journey includes holding various crucial positions such as Chairman of the Rajasthan State Pollution Control Board, Additional Chief Secretary for Medical & Health and Family Welfare Department, Principal Secretary to Government for Industries, State Enterprises, and N.R.I.s Department, Commissioner of Rajasthan Council of Primary Education, and several other key roles in the government and education sectors.

Ms. Veenu Gupta's commitment to continuous learning is evident from her diverse training experiences both domestically and abroad. She has participated in various prestigious programs, including consultancy training under STUNCTAD in Geneva and China, a comprehensive MBA program from Southern Cross University in Australia, and advanced courses on WTO from the Administrative Staff College of India, among others.

With her deep understanding of governance, trade, and industries, Ms. Veenu Gupta is a valuable addition to our board. Her visionary approach and insightful contributions will undoubtedly play a pivotal role in steering our organization towards greater heights of success. We are confident that her presence on the board will enrich our decision-making processes and drive positive changes for the company and all its stakeholders.

Ms. AnandhiDirector

Ms. Anandhi was appointed on the Board of the Company effective January 17,2024 as Government of Rajasthan nominated Director. Her exemplary career in public service reflects a commitment to excellence and a vast experience in governance and administration. Born on March 1, 1982, in Tamil Nadu, Ms Anandhi's educational background is as impressive as her career trajectory, holding a B.A. (Hons.) in Sociology, an LL.B in Law, and an M.A. in Economics.

Prior to her current position as Secretary to the Government in the Mines & Petroleum Department of Rajasthan, Ms. Anandhi has held several key positions including the Secretary to the Government in the Information Technology & Communication Department and various roles of critical importance such as the Deputy Director at LBSNAA, Mussoorie, and District Magistrate for Alwar and Udaipur.

Her diverse portfolio also includes being the Joint Secretary to the Government in the Finance (Taxation) Department and Director of the Rashtriya Madhyamik Shiksha Abhiyan. Notably, Ms. Anandhi has also served as the Registrar at Sardar Patel University of Police, Security and Criminal Justice, and the Managing Director of RAJFED, Jaipur.

Ms. Anandhi's service history is marked by versatility and the ability to lead in complex situations, evident from her roles ranging from Chief Executive Officer of the Zila Parishad in Jodhpur to Collector & District Magistrate across various districts in Rajasthan. Her commitment to public service is further emphasized by her in-service training in Public Finance and Budgeting at the prestigious National Institute of Public Finance and Policy, New Delhi.

With this rich background in public administration and policy, Ms. Anandhi brings to our board a wealth of knowledge, strategic thinking, and an unparalleled dedication to civic duty that will be invaluable in steering our organization towards achieving its goals.
